Terms and Conditions of Use

1. Parties and acceptance
These terms govern access to and use of the online software and services (together, the "Service") provided by Ayuda CRM (the "Provider") and, where applicable, the customer organization using them on its own behalf or on behalf of its teams (the "Customer").
By creating an account, inviting users, connecting integrations, or using the Service, you represent that you have read and agree to these terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Description of the Service
The Service includes, depending on the applicable plan or agreement, CRM features, appointments and calendars, forms and landing pages, automation, transactional messaging, and analytics/marketing tools. Exact features may vary by agreement, region, or Customer configuration.
3. Accounts, roles, and Customer responsibility
- The Customer is responsible for the accuracy of data it enters and for obtaining any necessary authorizations from end contacts when collecting personal data.
- The Customer must maintain credential confidentiality and revoke access for users who should no longer operate the system.
- The Customer must not use the Service for illegal activity, unsolicited spam, impersonation, or content that infringes third-party rights.
4. OAuth integrations: Google and Microsoft
The Service may allow connecting Google and Microsoft accounts to sync calendars, send transactional emails on behalf of the connected user, or perform other functions described in the interface. These connections use standard protocols (OAuth 2.0) and request only the permissions needed for each function.
Google: Depending on configuration, permissions may include Google Calendar and events access, Gmail sending, and, if enabled by the Customer, reading Search Console data for verified sites. Google user data use complies with Google’s Limited Use requirements for API services (permitted use, no resale of Google user data, minimum permissions, and reasonable security controls). Microsoft: Microsoft Graph permissions may be requested (for example, mail send and calendar) in accordance with Microsoft documentation and applicable Microsoft Graph terms. The Customer must connect only accounts it is authorized to connect.
Users may disconnect integrations at any time from application settings; revocation may also be performed from the relevant provider account.
5. Intellectual property
The Provider’s software, trademarks, designs, and documentation are protected. The Customer retains ownership of data it submits. Except as expressly licensed, no right is granted to copy, reverse engineer, or redistribute the Service.
6. Availability and changes
The Service is provided on a commercially reasonable availability basis. The Provider may modify features or temporarily suspend for maintenance or force majeure. Material changes will be notified as required by agreement or applicable law.
7. Limitation of liability
To the fullest extent permitted by applicable law, total liability to the Customer for direct damages arising from the Service is limited to amounts paid by the Customer in the twelve months preceding the claim, except for willful misconduct or gross negligence where limitation is not permitted. We are not liable for indirect consequential damages where permitted by law.
8. Term and termination
Access may be terminated for breach, Customer request, or as provided in the commercial agreement. After termination, export or deletion timelines may apply consistent with the Privacy Policy and legal obligations.
9. Governing law and venue
Unless otherwise agreed in writing, disputes will be resolved under the law and courts specified in the primary services agreement. Mandatory consumer protection rules may apply to end users in Mexico where relevant.
